The Commission is due to review the Markets in Financial Instruments Directive (MiFID), and come forward with any new legislative proposals in the first quarter of next year. The process is under way, with the CESR advice to the Commission on most aspects of the review being published at the end of July and the publication of the Commission’s consultation, which should give a clearer indication of what new legislation may be proposed by the Commission, anticipated shortly.
MIFID affects most aspects of the business of investment firms in Europe through its passporting and authorisation requirements; its conduct of business rules; and through organisational requirements. In the three years since its implementation the intervening financial crisis has resulted in a significant increase in pressure from regulators for more transparency in the market. The MiFID review looks set to make changes to post-trade transparency regimes for non-equity markets, with implications for liquidity in those markets. Other proposed changes are likely to affect, transaction reporting, underwriting and placing of securities and investor protection rules.
The International Capital Market Association (ICMA) is presenting a half day conference on the MIFD review in Luxembourg on 30th September to update its members, and other interested parties on progress with the review and its impact on the business of all capital market participants in Europe. The conference, which is being held at the offices of the European Investment Bank, features presentations from policy experts from ICMA and the International Swaps and Derivatives Association (ISDA) on the implications of the review for fixed income and derivatives markets.
An expert panel will consider changes to the balance of liquidity and transparency in light of changes to the transparency regime for both equity and non-equity instruments under MiFID. Changes to secondary market infrastructure driven by impending regulatory change will feature in a second expert panel entitled OTC vs Exchange.
